# Data Processing Agreement (DPA)

This Data Processing Agreement ("DPA") forms part of the agreement between **Customer Inc.** ("Controller") and **ToolJolt Ltd.** ("Processor").

## 1. Subject Matter
The Processor processes personal data on behalf of the Controller solely for the purpose of provision of the SaaS platform.

## 2. Duration
Processing continues for the term of the main agreement, after which data is deleted or returned per Section 8.

## 3. Nature & Purpose
The Processor shall process personal data only on documented instructions from the Controller, including with regard to transfers to third countries.

## 4. Categories of Data & Data Subjects
Personal data may include identifiers, contact details and usage data of the Controller's end users, employees and contacts.

## 5. Obligations of the Processor
The Processor shall: (a) ensure persons authorised to process data are bound by confidentiality; (b) implement appropriate technical and organisational measures (Art. 32 GDPR); (c) assist the Controller with data-subject requests; (d) assist with breach notification and DPIAs.

## 6. Sub-processors
The Controller authorises the use of sub-processors provided the Processor imposes equivalent data-protection obligations and remains liable for their performance. The Processor shall give notice of changes.

## 7. Security
The Processor maintains encryption in transit and at rest, access controls, logging, regular testing and an incident response process.

## 8. Return & Deletion
Upon termination, the Processor shall delete or return all personal data and delete existing copies unless law requires storage.

## 9. Audits
The Processor makes available information necessary to demonstrate compliance and allows for audits by the Controller or an appointed auditor.

## 10. International Transfers
Where data is transferred outside the EEA/UK, the parties rely on appropriate safeguards such as Standard Contractual Clauses.
