CONSULTING SERVICES AGREEMENT

This Consulting Services Agreement is made on 6/3/2026 between Acme Inc. ("Client") and Northstar Advisory LLC ("Consultant").

1. ENGAGEMENT
The Client engages the Consultant to provide the following services on a non-exclusive basis:
Strategic advisory on go-to-market and pricing, including up to 4 workshops per month.

2. FEES
$6,000/month retainer (up to 20 hours). Invoices are due Net 15. Pre-approved travel reimbursed at cost.

3. INDEPENDENT CONTRACTOR
The Consultant is an independent contractor and is responsible for their own taxes and insurance. Nothing herein creates an employment or agency relationship.

4. CONFIDENTIALITY
Each party shall protect the other's confidential information and use it solely to perform this Agreement.

5. OWNERSHIP
Work product specifically created for the Client under this Agreement belongs to the Client upon full payment. The Consultant retains pre-existing methodologies and tools.

6. TERM & TERMINATION
This Agreement runs for 6 months. Either party may terminate on 30 days written notice. Fees accrued before termination remain payable.

7. LIMITATION OF LIABILITY
The Consultant's total liability shall not exceed the fees paid in the three months preceding the claim.

8. GOVERNING LAW
This Agreement is governed by the laws of State of New York, USA.
