NON-COMPETE & NON-SOLICITATION AGREEMENT

This Non-Compete & Non-Solicitation Agreement is entered into on 6/3/2026 between Acme Inc. ("Company") and Jordan Lee ("Restricted Party"), in consideration of continued employment and access to confidential information.

1. NON-COMPETE
During engagement and for 12 months thereafter, the Restricted Party shall not, within United States, directly or indirectly engage in or provide services to a business that competes with the Company in cloud data-analytics SaaS products.

2. NON-SOLICITATION OF CUSTOMERS
For 12 months after separation, the Restricted Party shall not solicit business from any customer they served or learned of during their engagement.

3. NON-SOLICITATION OF EMPLOYEES
For 12 months after separation, the Restricted Party shall not recruit or solicit any employee or contractor of the Company.

4. REASONABLENESS
The Restricted Party agrees that these restrictions are reasonable and necessary to protect the Company's legitimate business interests, including confidential information and customer relationships.

5. SEVERABILITY
If any restriction is found unenforceable, a court may reduce its scope or duration to the maximum permissible extent rather than void it entirely.

6. GOVERNING LAW
This Agreement is governed by the laws of State of Texas, USA.
